Barry Diller's People Inc Pulls $18 B MGM Resorts Takeover, Company Remains Standalone

Barry Diller's People Inc withdrew its June 1 proposal to acquire the rest of MGM Resorts, a deal valued at roughly $18 billion, and keeps its existing 27% stake. MGM's board said it will continue as a standalone company, citing its Las Vegas position, regional properties and BetMGM, while People said it remains open to a transaction with MGM.
People Inc, the Barry Diller-controlled company formerly known as IAC, has withdrawn its June 1, 2026 proposal to acquire the rest of MGM Resorts International, a deal that had been valued at roughly $18 billion. People keeps the 27% stake in MGM it already holds, so the casino operator stays public with Diller's company as its largest shareholder. Diller said People "didn't feel the mix was coming together in the way we had hoped".
MGM's board responded the same evening with a statement committing to its standalone strategy. "The Board remains excited to continue to lead MGM Resorts as a standalone company," chairman Paul Salem said, pointing to the company's leading position in Las Vegas, its regional properties and the momentum of BetMGM, its 50/50 online betting venture. MGM operates 30 hotel and gaming destinations and is pursuing growth in Asia, including its Japan integrated resort project.
The door is not fully closed. People said it "remains open to a strategic transaction with MGM and will consider a range of alternatives". The withdrawal also lands against a softer Las Vegas backdrop: Strip occupancy was flat in the second quarter while average daily room rates fell 4%, a meaningful signal for an operator that controls 40% of the hotel rooms on the Strip.
For investors, the key questions are how MGM shares trade without a takeover proposal underpinning them, whether People revisits a deal at different terms, and whether BetMGM and the Osaka project can carry the standalone growth case the board is now committed to.
