GE HealthCare to Buy Sofie Biosciences for $945 Million in Cash, Gaining U.S. PET Radiopharma Network and FAPI-74 Rights

GE HealthCare agreed on October 5 to buy privately held Sofie Biosciences from private equity firm Trilantic for $945 million in cash, adding a U.S. network of PET radiopharmaceutical manufacturing sites and U.S. rights to FAPI-74, a late-stage cancer imaging agent. The company expects the deal to close in the first half of 2027 and says it will be accretive to revenue growth, adjusted EBIT margin and adjusted EPS in the first full year of ownership.
GEHC said on Monday it will acquire Sofie Biosciences for $945 million in cash, buying the Dulles, Virginia company from private equity firm Trilantic. The deal, first reported by the Wall Street Journal as a purchase of nearly $1 billion, is expected to close in the first half of 2027, subject to closing conditions including regulatory approvals.
The asset is a supply chain as much as a pipeline. Sofie runs 15 contract manufacturing sites operating 21 cyclotrons, plus a theranostics-focused development and manufacturing site, making and distributing PET imaging agents for hospitals and imaging centers, according to the company's announcement as relayed by trade outlets. GE HealthCare frames the deal as building a 'final mile' footprint for U.S. PET radiopharmaceutical supply. It also brings U.S. rights to FAPI-74, a Phase III PET radiotracer that could be used to detect several types of cancer; GE HealthCare already held the rights outside the U.S. under a 2023 licensing agreement with Sofie.
Sofie will sit in GE HealthCare's Pharmaceutical Diagnostics segment, whose imaging agents supported 140 million procedures in 2025. The company says the transaction will be accretive to revenue growth, adjusted EBIT margin and adjusted EPS in the first full year of ownership. It follows GE HealthCare's $2.3 billion purchase of imaging software maker Intelerad in March, and lands in a busy radiopharma deal market: Curium agreed in August to buy Lantheus in a deal worth up to $8 billion. GE HealthCare shares closed about 2.3% higher at $65.74, according to SentiSense quote data.
What to watch: regulatory review ahead of the expected 2027 close, the Phase III readout path for FAPI-74 in the U.S., and whether GE HealthCare quantifies Sofie's revenue contribution, which neither the company nor coverage has disclosed.
