IonQ agreed on Monday to acquire Elisity, a zero-trust microsegmentation security company, in an all-stock deal valued at up to $1.3 billion, including up to $150 million in performance-based earnout. The deal is expected to close in the fourth quarter of 2026, pending regulatory approval. IonQ shares, which closed Friday at $39.89, traded about 8.9% lower late Monday morning.

IONQ agreed on Monday, October 12, to buy Elisity, a zero-trust security company founded in 2019, in an all-stock transaction valued at up to $1.3 billion. That headline value includes up to $150 million in earnout payments tied to the performance of the Elisity business, according to IonQ's announcement. The number of IonQ shares issued will be set at closing from a 20-trading-day average price, bounded between $33.07 and $49.61 per share, and the deal is expected to close in the fourth quarter of 2026, subject to regulatory approval.

Elisity sells microsegmentation software that enforces access policies across a network based on identity and asset data. IonQ says Elisity has more than 100 customer deployments, a growing number of Fortune 500 customers, revenue and customers doubling year over year, and zero churn among deployed customers; those growth figures are company assertions without disclosed base numbers. IonQ frames the purchase as a channel for its quantum security products, including post-quantum cryptography and quantum key distribution. CEO Niccolo de Masi said Elisity brings "proven enterprise policy enforcement scale" to the strategy and argued that "Q-Day is coming much faster than predicted".

The market reaction was negative. IonQ closed Friday at $39.89, a market value of nearly $16 billion, and was down about 2% in premarket trading according to The Quantum Insider, before the decline deepened after the open; SentiSense data showed the stock at $36.33, down 8.9%, as of 11:48 a.m. ET. That level sits inside the share-price collar, so the exchange ratio is live: a weaker IonQ stock means more shares issued to Elisity holders. This is the latest in a string of acquisitions, after SkyWater ($1.8 billion, announced in January) and Oxford Ionics ($1.1 billion, last year), according to Investing.com.

What to watch: whether IonQ discloses Elisity's revenue base or annual recurring revenue so investors can size the deal, the final share count at closing, and whether the security push produces revenue that offsets dilution. The deal still needs regulatory approval before its expected fourth-quarter close.
