Magnolia Oil & Gas Acquires WildFire Energy for $4.06 Billion

Magnolia Oil & Gas has agreed to acquire WildFire Energy in a $4.06 billion deal, with the company also announcing a major increase in dividend.

MGY has agreed to acquire WildFire Energy in a deal valued at approximately $4.06 billion, inclusive of debt, in what is Magnolia's largest acquisition to date. The deal adds roughly 810,000 net acres in the Giddings field and about 53,000 barrels of oil equivalent per day of production, around 70% oil-weighted.

The acquisition is a consolidation play in the Eagle Ford and Austin Chalk trend of South Texas, territory Magnolia already operates in. Magnolia's CEO framed the combination as building "a dominant Eagle Ford/Austin Chalk position," and KeyBanc analyst Tim Rezvan called Magnolia a natural consolidator given how the two companies' acreage maps line up, saying the bid was not a surprise to the firm.

Under the deal terms, WildFire's owners will receive 32.2 million shares of Magnolia Class A common stock, and Magnolia will assume $600 million of WildFire's notes due 2029, with the remainder funded through cash on hand plus a mix of new debt and equity, backed by committed financing from JPMorgan Chase, Citigroup, and Wells Fargo. Magnolia expects more than $100 million in annual synergies (roughly $700 million in net present value), aided by a shared sand mine that supplies about 80% of Magnolia's sand needs and over 500 miles of gas gathering pipelines. Alongside the deal, Magnolia raised its quarterly dividend 9% to $0.18 per share (from $0.165) payable in the third quarter of 2026, and lifted its 2026 standalone production growth guidance to 6% from 5%. The deal is expected to close in late Q3 2026.

Analyst reaction has been mixed: KeyBanc reiterated an Overweight rating with a $38 price target, while Citi cut its target to $29 from $32 and UBS trimmed its target to $34 from $38 around the announcement, reflecting some caution on integration and leverage even as the deal's free cash flow accretion supports the dividend increase. Investors could watch the closing timeline, how quickly WildFire's Giddings assets are integrated, and Magnolia's post-deal leverage profile as the transaction progresses toward a late-Q3 close.
