Oklo executives sell stock as shares trade far below their high

SentiSense · Published · Updated

Several Oklo executives sold shares in recent weeks, mostly small sales to cover taxes on vested stock units plus larger pre-planned sales by the CEO and COO. The stock trades near $26, which the Motley Fool describes as down 86% from its high. The company also set up a $1 billion at-the-market stock offering in September.

Recent insider filings at OKLO are mostly routine, with one larger pre-planned block. On Sept. 28, Chief of Staff John Hanson and Chief Product Officer Alexandra Renner each sold 1,100 shares at $37.39, or $41,129, and Chief Strategy Officer William Goodwin sold 1,775 shares for $66,367; each Form 4 says the sale covered tax withholding on vested stock units. The larger sales came on Oct. 1, when CEO Jacob DeWitte and COO Caroline Cochran sold 120,000 shares combined, about $4.38 million, under a 10b5-1 trading plan adopted in March 2025.

A Form 144 for Oklo was also reported. That form is an insider's notice of a proposed sale of their own shares, not a company share issuance. The company-level dilution risk comes from elsewhere: an 8-K filed Sept. 11 set up a $1 billion at-the-market stock offering with a group of banks.

The selling lands on a stock that has fallen sharply. The Motley Fool described Oklo as down 86% from its high and asked whether it is a bargain or has more downside. Shares traded at $26.35 early Monday on a delayed quote, down from about $37 when the September tax sales were made. Analysts remain far more optimistic than the tape: the mean price target across 19 analysts is $68.95.

What matters from here is the pace of sales under the at-the-market program and any progress toward licensing and deploying its first reactors, which the current price discounts heavily. Tax-cover and pre-planned sales say little about management's view on their own.
