ON (onsemi) has agreed to acquire SYNA (Synaptics) in an all-stock transaction valued at roughly $7 billion, a deal both companies confirmed in a joint announcement. The combination pairs onsemi's power and sensing portfolio with Synaptics' human-machine interface and edge-AI silicon, an effort onsemi frames as a bet on "physical AI".
Physical AI refers to intelligence embedded in real-world devices such as sensors, robotics, automotive systems and industrial controls, rather than in data-center models. For onsemi, whose core markets span automotive and industrial power semiconductors, Synaptics adds touch, voice and IoT connectivity capabilities that could deepen its content per device as those systems gain on-board intelligence. The all-stock structure preserves onsemi's balance-sheet flexibility but exposes existing holders to potential dilution.
The agreement carries a termination fee of about $235 million payable by Synaptics under certain circumstances, and the companies plan an investor call to detail the rationale and expected synergies.
