Compal acquires substantially all of the assets and operations of the unit, including intellectual property, customer relationships, and personnel. Both boards have approved the transaction, and it is expected to close in the fourth quarter of Semtech's fiscal 2027, subject to regulatory approvals.
The rationale is portfolio focus. SMTC has been repositioning around data center signal integrity products and its LoRa low-power IoT connectivity franchise, and the cellular module business sits outside both, carrying lower margins than the lines Semtech wants to fund.
At $62 million the proceeds are modest relative to the strategic effect. The value here is not the cash, it is the removal of a revenue line that diluted blended gross margin and consumed engineering attention. The trade-off is straightforward: Semtech is choosing a smaller, higher-margin revenue base concentrated in two markets, and giving up the diversification that the module business provided.
That concentration is what to watch. Data center signal integrity demand is tied directly to the AI infrastructure cycle, and LoRa adoption has been slower to scale than the addressable-market case implies. With cellular modules gone, Semtech has fewer places to absorb a downturn in either. The metrics that matter over the next two quarters are the revenue contribution disclosed for the divested unit and whether blended gross margin actually improves once it is out.
