SpaceX Closes $60 Billion Acquisition of Cursor Maker Anysphere
SpaceX has completed its $60 billion all-stock acquisition of Anysphere, the company behind the AI coding assistant Cursor, in what is the largest startup acquisition on record. Anysphere shares converted into roughly 389 million SpaceX Class A shares, and Cursor becomes a wholly owned unit of a new SpaceXAI division with access to the Colossus supercomputer.
SpaceX has closed its $60 billion all-stock acquisition of Anysphere, the startup behind the AI coding assistant Cursor, completing what is now the largest startup acquisition on record. The transaction, first agreed earlier this year, converted Anysphere's outstanding shares into roughly 389 million SpaceX Class A shares, with additional restricted stock units and options assumed by the acquirer. Cursor becomes a wholly owned unit inside a newly formed SpaceXAI division rather than being folded into the launch business.
The strategic logic runs through compute. Cursor gains access to SpaceX's Colossus supercomputer cluster, the resource that had been the centerpiece of an earlier training partnership between the two companies before the talks escalated into a full acquisition. For SpaceX, an all-stock structure preserves cash for Starship and Starlink capital programs while giving Anysphere shareholders exposure to a private valuation that has been marked up aggressively over the past two years.
For public-market investors the read-through is competitive rather than direct, since SpaceX remains private. AI coding assistants are now a contested category where MSFT fields GitHub Copilot and every large model provider is pushing agentic coding products, and a $60 billion price tag resets the reference valuation for that entire cohort. The things worth watching are whether Cursor retains its engineering team through the integration, whether SpaceX opens Colossus capacity to outside customers, and how the share issuance affects the secondary-market pricing that has driven recent SpaceX valuation headlines.
