Steris to buy surgical safety firm Xodus Medical for $2.1 billion

Steris agreed on October 12, 2026 to buy privately held Xodus Medical, a Pennsylvania maker of surgical patient-positioning and OR safety products, for $2.1 billion at closing, about $1.8 billion net of roughly $300 million in expected cash tax benefits, plus an earnout of up to $150 million. The deal will be financed mainly with debt and is expected to close by December 31, 2026.

STE agreed on Monday, October 12, to acquire Xodus Medical, a specialty surgical products business focused on patient and operating-room staff safety, for $2.1 billion at closing. Steris put the net cost closer to $1.8 billion after cash tax benefits with a net present value of about $300 million, and Xodus's owners can earn up to $150 million more through an earnout. The company said it will fund the purchase primarily with debt and expects the deal to close by December 31, 2026, subject to regulatory approvals.

Xodus, founded in 1993 and based near Pittsburgh, is best known for its Pink Pad patient positioning systems. Steris expects it to generate about $245 million of revenue in calendar 2026 with adjusted EBIT of roughly $135 million, and said the business has grown at double-digit rates. On those projections Steris is paying about 8.6 times this year's expected revenue, a premium price that reflects an unusually high-margin consumables line rather than scale.

Steris said the acquisition should be accretive to top-line growth, margins and adjusted earnings, but gave no per-share figure and will only issue a revised fiscal 2027 outlook after closing. Stephens analyst Steven Etoch called it "a logical tuck-in that adds additional operating-room supplies to Steris' healthcare business," according to Reuters, and noted Steris's larger sales network could lift Xodus's sales. STE traded at $220.37, up 2.8%, in early afternoon trading, though no report directly tied the move to the deal.

What to watch: the size of the new borrowing and its effect on leverage, regulatory clearance before the year-end target, and the post-close fiscal 2027 outlook, which will show how much the deal adds to earnings.
