TTMI agreed on August 15, 2026 to acquire Epiq Solutions from Veritas Capital for approximately $1.1 billion in an all-cash transaction, and Needham & Company reiterated a buy rating with a $220 price objective in a note published August 18 . Founded in 2009, Epiq builds specialized software-defined radio technology for commercial, government and defense customers .
The deal is a vertical-integration move rather than a scale play. TTM's core business is advanced printed circuit boards; adding Epiq pushes it up the stack into RF subsystems, which carry higher margins and the long procurement cycles typical of defense programs . That shifts the revenue mix toward content per platform rather than board volume.
The financing is the part investors should size carefully. TTM secured a debt commitment letter on August 15 from JPMorgan, Barclays and Bank of America for $1.1 billion of incremental senior secured term loans, covering the purchase price, fees and the refinancing of Epiq's existing debt . Net leverage is expected to be roughly 2.3x at closing, which management plans to bring down to 1.5x to 1.7x within 12 to 18 months. The company projects the transaction will be immediately accretive to adjusted EBITDA margins, with the non-GAAP diluted EPS benefit arriving during 2028.
The transaction remains subject to customary regulatory conditions and is expected to close by the end of 2026, so the acquisition is announced rather than completed. Deleveraging pace against that 1.5x to 1.7x target, integration of Epiq's engineering base, and whether defense budget timing supports the long-cycle thesis are the items that will determine if Needham's $220 target proves conservative or optimistic.
