USA Rare Earth Finalizes $1.55 B Government-Backed SPV Funding for Serra Verde Offtake

USAR confirmed on August 24 that it completed an upsized $1.55 billion capitalization of a U.S. government-backed special purpose vehicle that will purchase 100% of Phase 1 rare-earth production from Serra Verde, satisfying the offtake condition in its pending acquisition of the Brazilian miner.

The structure is what makes this notable rather than the headline number. The U.S. Department of War is putting $750 million into the SPV, a $250 million increase over the original capitalization requirement, and a tier-one institutional bank has delivered a commitment letter for a $500 million senior debt facility. The department has also entered a forward purchase contract with the SPV for no less than $300 million of rare-earth product over five years.

The offtake itself runs 15 years and covers all four magnetic rare earths needed to build a permanent NdFeB magnet, with guaranteed minimum floor prices on each of neodymium, praseodymium, dysprosium and terbium. Those floors are the substantive de-risking element: rare-earth projects historically fail on price volatility engineered by the dominant producer rather than on geology, and a government-backed floor removes the mechanism that has killed prior Western entrants.

The financing clears the last major condition ahead of USA Rare Earth's roughly $2.8 billion acquisition of Serra Verde, with closing expected promptly after the August 28 special meeting of shareholders. The near-term items to watch are that shareholder vote and then Phase 1 production milestones, since the floor prices only convert into revenue at volume.
